RECITALS:
In connection with the potential business relationship between the parties it
will be necessary for each party to disclose to the other party and affiliates,
associates, principals confidential and proprietary information.
Such information is extremely valuable to
the owners thereof. THEREFORE, in consideration of the mutual promises and
covenants contained herein and the acts to be performed hereunder, the parties

agree as follows:
1. Confidential
information as used herein means: proprietary information of the parties;
information provided in tangible form marked confidential, including rates;
information provided verbally which has been identified as confidential; other
proprietary information such as customer data information and information
provided by any media.
2. Each party
acknowledges that all confidential information of the party is and shall
continue to be exclusive property of such party.
3. With respect
to information provided under this agreement, the party to whom the information
is disclosed shall: hold the information in confidence and protect it in
accordance with the security regulation by which it protects its own proprietary
or confidential information; restrict disclosure of the information solely to
principals within the company advise those principals of their obligation with
respect to the information,
4. Any
obligation of Allen Carpenter CEO as set forth in the preceding paragraphs shall
apply to Information disclosed in writing and designated confidential, or if
disclosed orally, shall be promptly reduced to writing. However, this obligation
shall not apply to any information, knowledge, data and/or know-how which:
(a) Is or
hereinafter becomes part of the public knowledge through no fault of Allen Carpenter CEO,
(b) Allen Carpenter CEO
can demonstrate was in its possession prior to the time of disclosure by

(c) Is
independently developed by or for Allen Carpenter CEO by persons not having
access to said "Contact_name
" hereunder as shown by written records.
5. Allen Carpenter CEO,
Global Consultancy & Services Inc. and
Contact_company
shall obligate there respective employees and the employees of
its affiliates who shall have access to any portion of the information to
protect the confidential and proprietary nature of the information. Violation is
subject to cost of all negotiations hereafter, and the sum of US$25,000.00.
This agreement shall stay in force for a period not less than 90 days and not more than 1 Year, and is retroactive should both parties agree by phone, fax or recognized international communications.
IN WITNESS WHEREOF, the parties have
accepted the terms of this Non-Circumvention, Non-Disclosure Agreement on the
date of the completion of this form.
